Yahoo! Japan Corporation / Culture Convenience Club Co., Ltd.

Yahoo! JAPAN, operated by Yahoo! Japan Corporation (hereinafter referred to as "Yahoo! JAPAN"), and Culture Convenience Club Co., Ltd. (hereinafter referred to as "CCC") have today reached a basic agreement on a strategic capital and business alliance (hereinafter referred to as "this alliance").
Through this partnership, the points issued by both companies will be unified under the name "T-POINT," and the online IDs will be unified under the name "Yahoo! JAPAN ID." Based on an equal partnership, both companies intend to work diligently to expand their businesses, primarily in the points program, while also striving to improve customer convenience.
Yahoo! JAPAN and CCC had already entered into a comprehensive business alliance in July 2010, primarily focused on point services, with the aim of mutual business development and strengthening competitiveness. Now, in order to further expand their businesses by leveraging the strengths of both companies, they have decided to establish a new company. Yahoo! JAPAN, which operates one of Japan's largest internet sites with approximately 51 million unique customers per month, and CCC, which has 40.45 million unique active members, representing about one-third of Japan's population, have entered into this partnership. This partnership will enable the creation of Japan's largest O2O platform, aiming to establish an overwhelming economic sphere in both the online and offline worlds.

With the widespread adoption of smartphones and the remarkable development of payment methods both online and offline, Japan's consumer style is expected to undergo further changes, and the O2O market is projected to develop and expand even more in the future.
Yahoo! JAPAN and CCC prioritize providing services tailored to customer needs, leveraging the strengths of both companies, which possess overwhelmingly large foundations in both the online and offline sectors, to build Japan's most valuable shared point system while simultaneously enhancing the customer value for both companies.

1. Details of the business partnership
(1) Switch from "Yahoo! Points" to "T-POINT"
Yahoo! JAPAN will be switching from "Yahoo! Points," which are awarded for eligible Yahoo! JAPAN services such as "Yahoo! Shopping," to "T-POINT," which are provided by CCC.
(2) Unify "T-ID" into "Yahoo! JAPAN ID"
CCC will unify its "T-ID," a common login ID used to access T-POINT services online, with "Yahoo! JAPAN ID," provided by Yahoo! JAPAN.
(3) Expansion of the network of "T-POINT" partner stores and customer acquisition, both in physical stores and online.
Yahoo! JAPAN and CCC will mutually utilize "Yahoo! Loco," Japan's largest geo-service operated by Yahoo! JAPAN, and CCC's network of regional agents to expand the network of "T-POINT" partner stores and contribute to regional revitalization. Furthermore, Yahoo! JAPAN and CCC will conduct sales activities to expand T-POINT partnership services on the internet, aiming to further increase the volume of T-POINT exchanged online. In addition, we will make full use of Yahoo! JAPAN's media power to expand customer traffic to existing "T-POINT" partner stores.

2. Details of the capital alliance
CCC plans to spin off its "T-POINT" program operation business into a new company, with Muneaki Masuda becoming its representative director and president.
Yahoo! JAPAN will acquire a 15% stake in the new company, and its CEO, Manabu Miyasaka, will serve as a director of the new company.
Furthermore, both companies have agreed to utilize their respective capital for the new company to build a common point system with the highest customer value in Japan, and to share the profits generated by this partnership.

3. Future plans
October 1, 2012 (scheduled): Establishment of a new company, change of shares.
Next spring (planned): Point system change and ID unification.
