TSUTAYA Co., Ltd. (Head office: Shibuya-ku, Tokyo; President and CEO: Muneaki Masuda; hereinafter referred to as "TSUTAYA") hereby announces that at the Board of Directors meeting held on February 24, 2016, it resolved to restructure the company, effective April 1, 2016.

About the establishment of the new company

I. Purpose of establishing the new company

■Incorporation of the three companies: Since the year before last, we have been transferring responsibility to each company in accordance with regionalism.This time, we will be spinning off the three companies, Hokkaido Company, Chugoku-Shikoku Company, and Kyushu Company, and each will be established as a new company on April 1, 2016. Going forward, we will further develop our regionalism and create customer value through a system that allows for swift decision-making.

■Incorporation of supply, distribution, and other businesses: With the aim of further strengthening our growth base and making effective use of the group's management resources, we will spin off our supply business, logistics planning business, and sales promotion production business through a new incorporation-type division to establish new companies.

Merger of business companies

I. Purpose of the intra-group merger
As customer tastes and preferences continue to diversify at an accelerating pace, TSUTAYA Co., Ltd. will merge with T-MEDIA Holdings Co., Ltd. on April 1, 2016, in order to go beyond the traditional framework and establish an operational structure aimed at improving efficiency and accelerating decision-making through the integration of group management. As the new TSUTAYA, we will further promote the integration of online services and stores, providing customers with high-quality service and moving experiences.
