Culture Convenience Club Co., Ltd. (Head office: Shibuya-ku, Tokyo; Representative Director, President and CEO: Muneaki Masuda; hereinafter referred to as "CCC") is pleased to announce that it has entered into a basic agreement on a business alliance with Autobacs Seven Co., Ltd. (Head office: Koto-ku, Tokyo; Representative Director, President and CEO: Kiomi Kobayashi; hereinafter referred to as "Autobacs Seven").

1. Purpose of the Basic Agreement
The aim of the merger is to create new synergies, maximize customer satisfaction, and maintain and strengthen competitiveness by combining the business resources of both companies, namely CCC's customer base of 60.5 million people* and its ability to propose lifestyle ideas, with AUTOBACS SEVEN's customer base of 15 million people and its car-related know-how, to provide services with even higher customer satisfaction.

2. Overview of the basic agreement
(1) Establishment of a joint venture (target date: January 2017)
(2) Car-related database construction and marketing services
(3) Unification of point services into T-POINT and issuance of T-CARD (targeting April 2017)

The two companies plan to continue discussing the details of the contract in preparation for its conclusion. We will announce the specific details as soon as they are decided after further consideration.

* As of the end of September 2016, the number of T members who have used the service in one year (aggregated)
