CK Holdings Co., Ltd. (hereinafter referred to as the "Tender Offeror")) announced on May 15, 2018 that it has acquired Kitamura Co., Ltd. (Securities Code: 2719, listed on the Second Section of the Tokyo Stock Exchange, Inc.; hereinafter referred to as the "Target Company"). ) common shares (hereinafter referred to as the "Target Shares"). ) to the Financial Instruments and Exchange Act (Act No. 25 of 1948). Includes subsequent amendments. ) (hereinafter referred to as the "Tender Offer"). ) and hereby announces the details as follows.

The Tender Offeror will acquire and hold the Target Company Shares through the Tender Offer, primarily for the purpose of acquiring and holding the Target Company Shares through the Tender Offer. ) on April 6, 2018, and as of today, all of its issued shares are owned by CCC. As of today, the Offeror does not own any Target Company Shares listed on the Second Section of the Tokyo Stock Exchange.
Today, the Offeror announced that it will acquire all of the Target Company Shares (excluding the Target Company Shares held by CCC and the treasury shares held by the Target Company). ), a series of transactions aimed at taking the Target Company private (hereinafter referred to as the "Transactions"). ) and has decided to carry out this tender offer.
