Kitamura Holdings Co., Ltd. Notice regarding partial share transfer

Culture Convenience Club Co., Ltd.

Culture Convenience Club Co., Ltd. (President and CEO: Muneaki Masuda, hereinafter referred to as CCC) is pleased to announce that it has transferred a majority stake in Kitamura Holdings Co., Ltd. (President and CEO: Noriyuki Takeda, hereinafter referred to as Kitamura HD), which will result in Kitamura HD transitioning from a consolidated subsidiary of the CCC Group to an equity-method affiliate.

CCC entered into a capital and business alliance with Kitamura Co., Ltd. in 2017, and made the company a subsidiary following a tender offer in 2018. In 2019, Kitamura HD was established as a holding company for the six Kitamura Group companies, which have strengths in brick-and-mortar stores such as Kitamura Camera and Studio Mario, as well as professional-quality photography products, and the five CCC Photo Life Lab Group companies, which have strengths in online photo printing and photography sales services.

As a planning company, CCC has been working to grow Kitamura HD, collaborating in the photo life proposal field and providing know-how and planning for store creation, including the Shinjuku Kitamura Camera Store. CCC has determined that a certain level of success has been achieved, and has therefore decided to transfer the shares.

Going forward, we will continue to create synergies in the area of photo life proposals and support Kitamura HD, a major alliance company of T Point.
