Kinokuniya Bookstores Co., Ltd. (Head office: Shinjuku-ku, Tokyo; Chairman and Representative Director: Masashi Takai; hereinafter "Kinokuniya Bookstores") and Culture Convenience Club Co., Ltd. (Head office: Shibuya-ku, Tokyo; President and CEO: Yasunori Takahashi; hereinafter "CCC") are pleased to announce that they have concluded a share transfer agreement today, November 29th, under which Kinokuniya Bookstores will acquire all shares of CCC's subsidiaries, Asahi Bookstores Co., Ltd. (hereinafter "Asahiya Bookstores") and Tokyo Asahi Bookstores Co., Ltd. (hereinafter "Tokyo Asahi Bookstores").

Asahi Shoten and Tokyo Asahi Shoten, which have a history of approximately 80 years, joined the CCC Group in 2018 and have been operating bookstores based on the CCC Group system, contributing to local culture through books. On August 30, 2024, Kinokuniya Bookstore and CCC announced the "Notice of commencement of discussions toward the conclusion of a share transfer agreement for Asahi Bookstore and Tokyo Asahi Bookstore," and have since been engaged in careful discussions with the aim of promoting sustainable management, taking into account the current external environment.

As a result, we have come to the conclusion that by leveraging Kinokuniya Bookstore's management resources and service infrastructure, Asahi Bookstore and Tokyo Asahi Bookstore will be able to provide new value to customers and contribute more than ever before to the cultural development of the region. Asahi Shoten and Tokyo Asahi Shoten will continue to create a place where customers can encounter high-quality works.
