(Representative Director, President and CEO: Yasunori Takahashi, hereinafter referred to as "CCC"; the group is collectively referred to as "CCC Group"), and CCC MK HOLDINGS Co., Ltd. (Representative Director, President and CEO: Yasunori Takahashi, hereinafter referred to as "CCCMKHD") are pleased to announce that they have reached an agreement on the capital restructuring of CCCMKHD, which operates the V POINT program.

Sumitomo Mitsui Card will acquire additional shares in CCCMKHD, making CCCMKHD a subsidiary of Sumitomo Mitsui Card. In addition, as CCCMKHD acquires a portion of its treasury shares from CCC, the capital structure of CCCMKHD will change from the current "Sumitomo Mitsui Card 20%: Sumitomo Mitsui Financial Group 20%: CCC 60%" to "Sumitomo Mitsui Card 55%: Sumitomo Mitsui Financial Group 25%: CCC 20%."The capital restructuring is scheduled to be completed by the end of March 2026.

In addition, CCCMKHD's trade name will be changed to "V POINT Marketing Co., Ltd." (hereinafter "CCCMKHD (new company name: V POINT Marketing)"), and its representative will be "Seigo Hirota (currently CCCMKHD Executive Vice President and Representative Director)."

1. Purpose of capital restructuring

SMBC Group and CCC Group will restructure the capital of CCCMKHD (new company name: V POINT Marketing) in order to make V POINT the only common point system led by a financial group. Going forward, V POINT will leverage the comprehensive strength of the SMBC Group, with Sumitomo Mitsui Card at the core, to aim for the "No. 1 points" and "No. 1 database marketing," while also implementing strategies to provide new value and developing markets.

Specifically, we will consolidate apps related to "V POINT" and review the UI/UX to further improve the convenience and quality of various functions and services, aiming to provide services that meet the diverse needs of our customers. In addition, we will fully utilize the three data points of "financial account x payment x purchase" that combine SMBC Group's "customer base" with the lifestyle data of CCCMKHD (new company name: V POINT Marketing), and grow this into an entirely new database marketing business that is one of the largest in Japan as a financial group.

The two groups will combine SMBC Group's "overwhelming customer base" and "advanced AI utilization and technology" with CCC Group's "planning capabilities that create experience value" and "knowledge as a pioneer in shared points and database marketing" to evolve "V POINT" into a shared points system that is the most popular among both consumer and business customers.

2. Specific initiatives

(1) Further improving the benefits and convenience of V POINT
① Improved user convenience through app integration
By integrating the "V POINT App" and "V POINT Pay App," we will strengthen collaboration with SMBC Group's digital services such as "Olive" and "Vpass," further improving the convenience and quality of various functions and services.

② Improved user benefits through highly personalized proposals
We will build a multifaceted, high-quality database by combining account data, payment data held by the SMBC Group and purchasing data held by CCCMKHD (new company name: V POINT Marketing). Through advanced personalized analysis using Sumitomo Mitsui Card's cutting-edge AI engine (Universe), the company will provide information that will allow customers to get even better deals, such as offering "V Coupons" that match consumer needs.

③Providing value unique to the SMBC Group and CCC Group
As the only common point system led by a financial group, we will further increase the value of V POINT by expanding the scope of use of V POINT in financial services, primarily Olive, and by utilizing them in the development of non-financial businesses. In addition, by combining the cultural values and entertainment of the CCC Group, we aim to expand services that create customer experience value and provide special experiences exclusive to V POINT customers, becoming a relatable brand.

(2) Accelerating the database marketing business
①Developing digital sales promotion and advertising services based on unique and deep customer understanding
We will deliver the benefits of "V POINT" to consumers and businesses by providing digital gift services and digital promotional services that respond to changes in customer needs due to the digitalization of the world. We will also be seriously considering advertising distribution using V POINT related apps such as SMBC Direct and the Vpass app.

②Expanding the service menu to cater to a wider range of businesses
In addition to its previous main business partners, V-Point partner companies and card member stores, the company will expand the services it provides through its database marketing business to a wider range of businesses, including manufacturers, and will promote purchases in cooperation with partner companies and card member stores by providing product-specific digital sales promotion services and owned media advertising.

(3) Evolution of SMBC Group's branch strategy through collaboration with the CCC Group 
As a result of this capital restructuring, CCCMKHD (new company name: V POINT Marketing), which operates V POINT, will become a subsidiary of Sumitomo Mitsui Card from the CCC Group. However, the collaborative relationship between the CCC Group and SMBC Group will remain unchanged, and the two groups will continue to deepen their relationship in all aspects of the retail business and maintain a strong relationship.

①Store design that enhances the value of Olive
Utilizing the know-how of the CCC Group, we will collaborate on planning experiential events rooted in the local community and designing stores, creating spaces where customers can experience the value of Olive.

② Strengthening diverse customer services
We will strive to create new value by creating locations and experiences that are essential to both finance and lifestyle, such as by creating branches where SMBC Group and CCC Group customers can experience exceptional, high-quality financial services and by providing new customer experience value centered on unprecedented discoveries and exciting lifestyles.
